Digital Partnership Agreement
“FRIENDS OF ARCHIATER” DIGITAL PARTNERSHIP AGREEMENT

This Digital Partnership Agreement* ("Agreement") is entered into by and between *Archiater Studio Sdn. Bhd.* [Company No. 202301021484 (1515407-V)], a company incorporated under the laws of Malaysia, with its principal place of business at B-18 DESA KUDALARI, LORONG KUDA, 50450 KUALA LUMPUR, WILAYAH PERSEKUTUAN KUALA LUMPUR, ("Archiater Studio"), and the *Prospective Partner*, whether an individual or legal entity, upon their *Electronic Acceptance by checking the designated box on the Partnership Registration Form.
Such acceptance constitutes agreement to the terms herein, subject to evaluation and potential appointment into one or more categories under the Archiater Studio Digital Partnership Program.
1. DEFINITIONS

| “ARC Digital Solutions” | refers to the software and services offered by Archiater Studio, including but not limited to: ● ARC Starter Pack (SaaS bundle); ● ARC Finance, ARC People, ARC Web, ARC Cloud; and ● ARC Points and related configurations. |
| “ARC Points” | refers to digital support credits, where three (3) ARC Points equal approximately one (1) support hour. ARC Points may be used for configuration, training, problem-solving, and administrative support. |
| “Prospective Partner” | refers to any individual or legal entity that has electronically agreed to this Agreement but has not yet been appointed as an official partner. |
| “Appointed Partner” | refers to a Prospective Partner who has successfully completed Archiater Studio’s evaluation process and been formally appointed under a specific Partnership Category. |
| “Partnership Category” | means one of the four types of Digital Partnerships available under Archiater Studio’s Program: ● Basic Reseller (“BAR”) ● Value-Added Reseller (“VAR”) ● Implementation and Training Partner (“INTP”) ● Strategic Partner |
| “Referral Client” | means a client introduced or onboarded by the Appointed Partner. |
| “Indirect Client” | refers to a client supported by an INTP without being directly introduced by the INTP. |
| “Electronic Acceptance” | means the act of agreeing to the terms of this Agreement via online registration. |
2. FORMATION AND EVALUATION
2.1 Electronic Consent
This Agreement shall become binding upon the Prospective Partner upon completion and submission of Archiater Studio’s official Digital Partnership Registration Form, and by expressly indicating agreement to this Agreement through the Electronic Acceptance mechanism provided therein (e.g., digital checkbox or e-signature).
2.2 Non-Guarantee of Appointment
Submission of the Digital Partnership Registration Form and electronic agreement to this Agreement does not constitute appointment. Archiater Studio retains full discretion to evaluate the Prospective Partner’s background, suitability, capability, and alignment with the Partnership Category applied for.
2.3 Evaluation Criteria
Evaluation of the Prospective Partner may include, but is not limited to: * 2.3.1* Nature and size of business or professional practice; * *2.3.2* Sales or implementation track record in digital solutions; * *2.3.3* Technical or industry-specific knowledge; * *2.3.4* Financial and ethical standing; * *2.3.5 Proposed strategy for referrals, bundling, or market penetration.
Archiater Studio may request additional supporting documents or conduct interviews as part of its due diligence process.
2.4 Notification of Outcome
Upon successful evaluation, Archiater Studio shall issue a Formal Appointment Notice, confirming the approved Partnership Category and entitlements. If rejected, Archiater Studio shall notify the Prospective Partner with brief reasoning, though no appeal shall be entertained.
2.5 Further Agreements Required
Once appointed, the Appointed Partner shall be required to enter into a more specific and binding Partnership Agreement aligned with the category of appointment (e.g., BAR, VAR, INTP, or Strategic). This Agreement shall act as a preliminary framework until such specific agreement is duly executed.
3. PARTNERSHIP CATEGORIES & COMMISSION ENTITLEMENTS
All Appointed Partners under the Digital Partnership Program shall be categorised into one (1) or more of the following four (4) official Partnership Categories, each with its own corresponding responsibilities, entitlements, and commission structure.
3.1 Basic Reseller ("BAR") Partner
- 3.1.1 Eligibility:
- Suited for individuals or entities with direct client relationships who wish to refer and earn passive income from monthly or annual ARC SaaS subscriptions.
- 3.1.2 Entitlements & Commissions:
- Monthly Subscription:
- First 5 Clients: 10% of gross subscription value
- Next 10 Clients: 15%
- 16th Client onward: 20%
- Annual Subscription:
- First 5 Clients: 10%
- Next 10 Clients: 15%
- 16th Client onward: 20%
- ARC Points:
- 5% commission across all ARC Points pricing tiers
- Not entitled to offer services or training unless separately certified and appointed as an INTP.
- Monthly Subscription:
3.2 Value-Added Reseller ("VAR") Partner
- 3.2.1 Eligibility:
- Ideal for consultants, solution providers, or agencies looking to embed ARC Solutions into their own offerings, with added flexibility to bundle their services.
- 3.2.2 Entitlements & Commissions:
- Monthly Subscription:
- First 5 Clients: 15%
- Next 10 Clients: 20%
- 16th Client onward: 25%
- Annual Subscription:
- First 5 Clients: 15%
- Next 10 Clients: 20%
- 16th Client onward: 25%
- ARC Points:
- 5% commission across all ARC Points pricing tiers
- Bundled Services Option:
- May offer own implementation, training, or business support services in a bundled proposal.
- Subject to prior approval by Archiater Studio.
- Wholesale Subscription Model:
- May purchase ARC SaaS solutions in bulk (min. 50 licenses) at discounted partner rates for resale or bundling.
- Monthly Subscription:
3.3 Implementation & Training Partner ("INTP")
- 3.3.1 Eligibility:
- Reserved for Prospective Partners who successfully complete Archiater Studio’s ARC Academy Certification Programme. May include individuals from BAR or VAR categories.
- 3.3.2 Entitlements & Commissions:
- ARC Points (Referral Clients):
- 30% commission on ARC Points sold to their directly referred clients
- ARC Points (Indirect Clients):
- Entitled to RM30 per ARC Point consumed by clients they support but did not refer
- Support Role:
- May be deployed to assist Archiater Studio in client training, onboarding, or special projects, subject to assignment
- SaaS-Based Commission:
- Continues to earn BAR or VAR commission if already enrolled under those categories
- ARC Points (Referral Clients):
3.4 Strategic Partner
- 3.4.1 Eligibility:
- Offered by invitation or proposal to entities with strategic assets such as distribution networks, government or industry relations, or technology synergy with ARC.
- 3.4.2 Entitlements:
- Tailored commission and revenue-share terms
- Priority access to co-branding, joint ventures, or grant proposals
- Access to white-labelling, integration rights, and extended business development initiatives
- Subject to custom agreement approved by Archiater Studio’s senior management
All commissions are payable based on collected revenue, excluding taxes. Payout terms, invoicing processes, and caps (if applicable) shall be further outlined in each Partner's formal appointment letter or agreement.
4. PARTNER OBLIGATIONS AND ETHICS
Upon appointment into any category of the Digital Partnership Program, the Appointed Partner agrees to uphold the following responsibilities and ethical standards:
4.1 General Obligations
The Appointed Partner shall: * 4.1.1 Act in Good Faith* – Promote ARC Solutions truthfully, without misrepresentation or misleading claims. * *4.1.2 Respect Client Ownership* – Refrain from soliciting or diverting clients that are already engaged directly with Archiater Studio or another Partner, unless officially transferred or consented. * *4.1.3 Comply with Branding Guidelines* – Use only approved logos, descriptions, and marketing materials when representing Archiater Studio or the ARC product suite. * *4.1.4 Submit Accurate Information* – Ensure all leads, invoices, sales records, and client submissions are accurate, legitimate, and properly documented. * *4.1.5 Prompt Disclosure* – Notify Archiater Studio of any conflicts of interest, operational issues, or material changes in business circumstances. * *4.1.6 Maintain Communication – Respond to client and internal communications within a reasonable timeframe (ideally within 3 working days).
4.2 Client Relationship Protocols
The Appointed Partner shall: * 4.2.1 Protect Client Data* – Treat all client information and business data with the highest level of confidentiality and security, in accordance with the Personal Data Protection Act (“PDPA”) 2010. * *4.2.2 Uphold Service Quality* – Ensure all implementation, support, or training delivered meets minimum acceptable standards. INTPs must comply with ARC Academy SOPs for onboarding and reporting. * *4.2.3 Avoid Overpromising – Clearly communicate the limitations and boundaries of the ARC product offering, including roadmap features that are not yet launched.
4.3 Prohibited Conduct
The Appointed Partner shall not: * 4.3.1* Resell unapproved or unauthorised packages, configurations, or prices; * *4.3.2* Replicate or reverse-engineer ARC solutions without written permission; * *4.3.3* Engage in any act that may tarnish the reputation of Archiater Studio or the ARC brand; * *4.3.4* Submit fraudulent claims, commissions, or reporting documents; * *4.3.5 Misrepresent themselves as employees or legal representatives of Archiater Studio.
4.4 Non-Exclusivity & Competitive Conduct
The Partnership is non-exclusive. However, the Partner agrees: * 4.4.1* Not to promote or resell directly competing products to active ARC Clients or Prospective Clients during their engagement; * *4.4.2 Not to poach Archiater Studio staff or appointed Partners for the purposes of direct competition.
4.5 Monitoring, Audits, and Breach
Archiater Studio reserves the right to: * 4.5.1* Audit the Partner’s sales and support activities; * *4.5.2* Conduct random client satisfaction surveys; * *4.5.3 Suspend or revoke Partnership status upon detection of non-compliance, breach, or unethical conduct.
A breach of this section may result in immediate termination, forfeiture of pending commissions, and legal action where applicable.
5. APPOINTMENT PROCESS AND EXECUTION
This section outlines the official process for converting a Prospective Partner into an Appointed Partner under the Digital Partnership Program.
5.1 Step 1: Digital Agreement & Registration
All Prospective Partners must: * 5.1.1* Read and electronically agree to this Digital Partnership Agreement; * *5.1.2* Submit a completed Digital Partnership Registration Form through Archiater Studio's designated portal or system; * *5.1.3 Select the intended Partnership Category they wish to apply for.
Note: No commission or entitlement is applicable at this stage until formal appointment is confirmed.
5.2 Step 2: Internal Evaluation
Upon receipt of the form and agreement: * 5.2.1* Archiater Studio will conduct a background check and suitability review based on the information submitted; * *5.2.2* Further documents, references, interviews, or business plans may be requested if deemed necessary; * *5.2.3 Turnaround time is typically within 14 working days, subject to completeness of submission.
5.3 Step 3: Formal Appointment
If approved, the Prospective Partner shall receive: * 5.3.1* A formal *Letter of Appointment*, which includes: * Approved Partnership Category, * Applicable Commission Rates, and * Specific commercial or operational terms (if any); * *5.3.2* A request to sign the category-specific Partnership Agreement (e.g., VAR Agreement, INTP Agreement); * *5.3.3 Access credentials to the ARC Partner Portal, if available.
Only upon full execution of the specific category-based agreement will the Prospective Partner be deemed an Appointed Partner and entitled to commission and benefits accordingly.
5.4 Certification for INTP Category
For the Implementation and Training Partner (INTP) category: * 5.4.1* The Prospective Partner must complete the ARC Academy’s Professional Product Proficiency Training & Certification Programme; * *5.4.2* Certification is mandatory before any ARC onboarding or support service may be rendered; * *5.4.3 Certified INTPs will be enrolled into the ARC Support and Delivery Network, with service credit tracking through ARC Points.
5.5 Upgrading or Changing Partnership Categories
A Partner may request to upgrade or transition to a new category (e.g., from BAR to VAR, or VAR to INTP), subject to: * 5.5.1* Performance review (e.g., referral volume, client feedback); * *5.5.2* Fulfilment of the new category’s eligibility requirements; * *5.5.3 Execution of a new agreement aligned to the revised category.
Archiater Studio reserves the right to approve, delay, or reject such transitions at its discretion.
6. COMMISSION, INCENTIVES & PAYMENT TERMS
This section outlines the official commission structures, incentives, and payment processes applicable to each Appointed Partner based on their category. Commissions are granted for qualifying sales, referrals, or services rendered, as further described herein.
6.1 General Principles
- 6.1.1 Commission Eligibility:
- Commission becomes payable once the referred or serviced Client has made full and cleared payment to Archiater Studio.
- 6.1.2 Revenue Basis:
- Commissions are calculated on net subscription or ARC Points value, exclusive of SST, disbursements, discounts, or third-party costs.
- 6.1.3 Payment Schedule:
- Commissions are paid monthly, subject to invoicing requirements and internal reconciliation.
- 6.1.4 Reporting:
- Partners must submit a commission claim or system-generated invoice to initiate payout, unless stated otherwise in their Partnership Agreement.
6.2 BAR Partner Commission Structure

- Eligibility to purchase ARC Digital Solutions under the Wholesale Subscription Model (minimum 50 monthly licenses).
6.4 INTP Commission & Reimbursement

6.5 Strategic Partner Incentives
Strategic Partner commissions are subject to custom terms and agreements, which may include, but not limited to: * 6.5.1* Revenue sharing models; * *6.5.2* Joint marketing allowances; * *6.5.3* Territory exclusivity premiums; * *6.5.4 White-labelling or integration license fees.
6.6 Wholesale Subscription Model (VAR & Strategic)
- 6.6.1 Partners may purchase bulk licenses (min. 50 subscriptions) of ARC SaaS at partner rates.
- 6.6.2* Wholesale prices shall be communicated upon request and governed by *Schedule F: Wholesale Subscription Model (custom to be attached).
- 6.6.3 Partner shall manage end-client billing, onboarding, and optionally deliver services with or without INTPs.
6.7 Loss of Eligibility
Commissions may be forfeited or withheld if: * 6.7.1* Partner breaches the obligations in this Agreement; * *6.7.2* Client churns within the lock-in period due to misrepresentation by Partner; * *6.7.3 Partner fails to deliver services (in case of INTP) and Archiater Studio incurs corrective costs.
6.8 Right to Amend & Grandfathering Clause
- 6.8.1 Archiater Studio Sdn Bhd reserves the right, at its sole discretion, to:
- Revise, amend, or update any aspect of this Agreement;
- Modify commission rates, incentives, and payment terms at any time, as deemed necessary.
- 6.8.2 All changes shall be communicated to Appointed Partners through official channels.
- 6.8.3 Notwithstanding the above, the entitlements shall apply:
- Any Appointed Partner who has entered into this Agreement during a period in which specific commission rates, incentives, and payment terms were effective shall continue to enjoy those agreed-upon terms.
- These entitlements shall remain valid as long as the Partner remains:
- In good standing; and
- Actively registered under their respective Partnership Category.
- 6.8.4 Such entitlement shall only be altered if:
- A new written agreement is mutually executed between Archiater Studio and the Partner; or
- The Partner’s status is suspended, revoked, terminated in accordance with the terms of this Agreement.
7. TERM, TERMINATION & EXIT
This section outlines the duration of the engagement between Archiater Studio and the Appointed Partner, and the processes involved in termination or voluntary exit from the Digital Partnership Program.
7.1 Term of Agreement
This Agreement shall: * 7.1.1* Take effect upon electronic acceptance by the Prospective Partner and remain in force during the evaluation period; * *7.1.2* Convert to an active engagement upon issuance of the Letter of Appointment and execution of the category-specific Partnership Agreement; * *7.1.3 Remain valid until terminated by either party in accordance with the provisions herein.
7.2 Termination by Either Party
Either Archiater Studio or the Appointed Partner may terminate this Agreement with: * 7.2.1* Fourteen (14) days’ written notice, without cause; or * *7.2.2 Immediate notice if either party commits a material breach of this Agreement, including unethical behaviour, fraud, or misconduct.
7.3 Automatic Termination
This Agreement shall automatically terminate if: * 7.3.1* The Appointed Partner becomes insolvent, bankrupt, or ceases operations; * *7.3.2* The Partner’s license, certification (for INTPs), or regulatory status relevant to their category is revoked; * *7.3.3 The Partner fails to make a sale or conduct any activity under this Program for six (6) consecutive months, subject to review.
7.4 Consequences of Termination
Upon termination: * 7.4.1* The Partner shall cease all representation of Archiater Studio and discontinue use of the ARC brand or marketing assets; * *7.4.2* All outstanding commissions due up to the date of termination shall be paid, unless caused by breach or misconduct; * *7.4.3* Access to ARC Partner Portals, dashboards, and communication channels shall be revoked; * *7.4.4 Any ongoing client engagements involving the Partner shall be reviewed and transitioned accordingly.
7.5 Reinstatement & Reapplication
Reinstatement after termination is not automatic. A previously terminated Partner may reapply through the standard registration process, subject to: * 7.5.1* A cooling-off period of three (3) months; * *7.5.2* A new evaluation and potential interview; * *7.5.3 Disclosure of prior termination in their new application.
8. CONFIDENTIALITY, DATA PROTECTION & INTELLECTUAL PROPERTY
This section establishes obligations on all Appointed Partners to protect sensitive information, comply with legal data handling requirements, and respect the intellectual property rights of Archiater Studio.
8.1 Confidential Information
- 8.1.1 Definition:
- “Confidential Information” refers to all non-public business, technical, financial, client, or strategic data shared by Archiater Studio, whether in writing, verbal, electronic, or visual form, including internal SOPs, pricing models, client data, and proprietary methods.
- 8.1.2 Obligation of Non-Disclosure:
- The Partner shall:
- Not disclose, share, or allow unauthorised access to any Confidential Information;
- Take reasonable security measures to protect Confidential Information;
- Use the information solely for the purposes of fulfilling duties under this Agreement.
- The Partner shall:
- 8.1.3 Exclusions:
- Information shall not be deemed confidential if it:
- Becomes public through no breach by the Partner;
- Is lawfully obtained from a third party;
- Is independently developed without reference to Archiater Studio’s materials.
- Information shall not be deemed confidential if it:
8.2 Data Protection & Client Privacy
- 8.2.1* The Partner must comply with all applicable data protection laws and regulations, particularly the *Personal Data Protection Act 2010 (PDPA) of Malaysia.
- 8.2.2 Any client or user data accessed, stored, or processed during the Partner’s sales or support activities must:
- Be kept secure and confidential;
- Not be sold, shared, or misused for personal gain;
- Be disclosed to Archiater Studio upon request for service continuity and audit purposes.
- 8.2.3 Any data breach must be reported within 24 hours to Archiater Studio’s management, including:
- Nature and scope of the breach;
- Clients affected;
- Remedial actions taken.
8.3 Intellectual Property (“IP”) Rights
- 8.3.1 All intellectual property rights relating to ARC Products, content, training materials, marketing materials, tools, and documentation shall remain the exclusive property of Archiater Studio Sdn Bhd.
- 8.3.2 Partners are granted a non-exclusive, non-transferable, and revocable license to use certain IP strictly for the duration and scope of this Agreement, for promotional and service delivery purposes.
- 8.3.3 No Partner may:
- Claim ownership of ARC IP;
- Use the ARC brand in a misleading or unauthorised manner;
- Develop derivative products using ARC methods or materials without prior consent.
8.4 Partner-Owned IP in Bundled Services
For VAR or INTP Partners offering bundled services or custom implementations: * 8.4.1* Any content, tools, or templates developed solely by the Partner shall remain their IP; * *8.4.2* However, joint service offerings must clearly define ownership and licensing arrangements prior to launch; * *8.4.3 Archiater Studio reserves the right to review and approve co-branded deliverables.
9. DISPUTE RESOLUTION, LIMITATION OF LIABILITY & MISCELLANEOUS
This section outlines how disputes shall be handled, the boundaries of legal liabilities, and other essential clauses governing the legal enforceability and interpretation of this Agreement.
9.1 Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising under or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
9.2 Dispute Resolution Process
Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through the following process: * 9.2.1 Good Faith Negotiation* * Within 7 days of a dispute arising, both parties shall designate a representative to resolve the matter amicably through dialogue. * *9.2.2 Mediation* * If negotiations fail, the matter shall be referred to mediation under the auspices of the Asian International Arbitration Centre (“AIAC”) or any mutually agreed mediator. * *9.2.3 Legal Recourse * If mediation fails to resolve the dispute within 30 days, either party may proceed with legal action in accordance with Clause 9.1.
9.3 Limitation of Liability
To the fullest extent permitted by law: * 9.3.1* Archiater Studio shall not be liable for: * Any indirect, incidental, or consequential losses, including but not limited to loss of profit, reputation, or opportunity; * Any failure by the Partner to comply with applicable laws, regulations, or client agreements. * *9.3.2 Archiater Studio’s total cumulative liability under this Agreement shall not exceed the total commission paid to the Partner in the preceding six (6) months from the date of claim.
9.4 Assignment
- 9.4.1 The Partner may not assign, transfer, or delegate their rights or obligations under this Agreement without prior written consent from Archiater Studio.
- 9.4.2 Archiater Studio may assign this Agreement to any affiliate or successor entity.
9.5 No Employment or Agency
- 9.5.1 Nothing in this Agreement creates a relationship of employer-employee, joint venture, or legal agency between the parties.
- 9.5.2 Partners are independent contractors, and have no authority to bind Archiater Studio unless explicitly authorised in writing.
9.6 Entire Agreement
- 9.6.1 This Agreement constitutes the entire agreement between the parties in relation to the Digital Partnership Program and supersedes all prior understandings, negotiations, or representations, whether written or oral.
- 9.6.2 Any amendment or modification must be made in writing and duly signed by both parties or executed digitally through authorised systems.
9.7 Severability
If any provision of this Agreement is found invalid or unenforceable by a court of law, the remaining provisions shall remain in full force and effect.
9.8 Force Majeure
Neither party shall be liable for delay or failure to perform its obligations under this Agreement due to events beyond its reasonable control, including acts of God, war, riot, epidemic, government restriction, or internet failure.
10. ACCEPTANCE AND DIGITAL CONSENT
By proceeding with the submission of the Digital Partnership Registration Form and activating the digital toggle or checkbox provided alongside this Agreement, the undersigned Prospective Partner acknowledges and agrees to the following:
10.1 Voluntary Acceptance
- 10.1.1 The Prospective Partner affirms that they have read, understood, and voluntarily accepted the terms and conditions set forth in this Digital Partnership Agreement.
- 10.1.2 The Partner certifies that the information submitted during registration is true and accurate to the best of their knowledge.
10.2 Legal Binding
- 10.2.1 This Agreement constitutes a legally binding contract upon digital consent and shall be enforceable in a court of law.
- 10.2.2 Where applicable, an e-signature or confirmation through Archiater Studio’s authorised digital system shall serve as the equivalent of a handwritten signature under Malaysia’s Digital Signature Act 1997 and Electronic Commerce Act 2006.
10.3 No Guarantee of Appointment
- 10.3.1 Digital acceptance of this Agreement does not constitute an automatic appointment as a Partner;
- 10.3.2 Archiater Studio reserves the sole discretion to evaluate and approve or reject any application without the obligation to provide reasons;
- 10.3.3 If appointed, the Partner shall receive a Letter of Appointment and be required to sign a specific Partnership Agreement corresponding to their approved category.
10.4 Recordkeeping
- 10.4.1 This Agreement and its digital acceptance shall be retained in electronic format for audit, verification, and compliance purposes;
- 10.4.2 A copy shall be provided upon request via the Partner Portal or administrative contact.
