Digital SaaS Agreement
DIGITAL SOFTWARE-AS-A-SERVICE ("SaaS") AGREEMENT

This Digital SaaS Agreement ("Agreement") is a legally binding contract between:
Archiater Studio Sdn Bhd [Company No. 202301021484 (1515407-V)], a company incorporated under the laws of Malaysia with its registered address at B-18 DESA KUDALARI, LORONG KUDA, 50450 KUALA LUMPUR, WILAYAH PERSEKUTUAN KUALA LUMPUR ("Archiater"),
and
the individual or entity that registers for, accesses, or uses the Services, including but not limited to Free Trial Subscriptions and Paid Subscriptions, by completing the Account Setup Form ("Client" or "Prospective Client").
By ticking the acceptance checkbox and submitting the Account Setup Form, the Client acknowledges that they have read, understood, and agreed to be bound by the terms of this Agreement. If the Client does not agree, Archiater shall not be obligated to provide access to any Free Trial or Paid Subscription.
This Agreement shall govern the Client's access to and use of Archiater's digital solutions, including but not limited to ARC Starter Pack, ARC NGO, ARC Finance, ARC People, ARC Web, and ARC Cloud, and shall remain effective until terminated in accordance with its provisions.
DEFINITIONS
For the purposes of this Agreement, the following terms shall have the meanings set forth below. Words in the singular shall include the plural and vice versa, and references to "including" shall mean "including without limitation."
"Account Setup Form" means the online registration form completed by the Client or Prospective Client to request a Free Trial or Paid Subscription of the Services.
"Agreement" means this Digital SaaS Agreement, including all sections, policies, schedules, and any updates published by Archiater from time to time.
"ARC Points" means prepaid support credits purchased by the Client that may be redeemed for specified support services or additional assistance provided by Archiater.
"Archiater" means Archiater Studio Sdn Bhd [Company No. 202301021484 (1515407-V)], including its directors, employees, affiliates, contractors, and permitted assigns.
"Archiater IP" means all intellectual property owned, developed, or licensed by Archiater, including but not limited to the Services, source code, object code, algorithms, architecture, user interfaces, designs, documentation, trademarks, logos, and proprietary materials.
"Client" means the individual or entity that has registered for and obtained a Paid Subscription to the Services, including their authorised users.
"Client Data" means all electronic data, content, information, and materials submitted, uploaded, stored, processed, or transmitted by the Client or its authorised users through the Services.
"Free Trial" or "Free Trial Subscription" means temporary, limited, and non-chargeable access to the Services provided by Archiater for evaluation purposes only.
"Paid Subscription" means the recurring, fee-based subscription plan purchased by the Client to access the Services beyond the Free Trial period.
"Parties" means Archiater and the Client collectively, and "Party" means either of them individually.
"Prospective Client" means any individual or entity that applies for or is granted a Free Trial Subscription of the Services but has not yet converted to a Paid Subscription.
"Services" means the digital solutions provided by Archiater on a software-as-a-service (SaaS) basis, including but not limited to ARC Starter Pack, ARC NGO, ARC Finance, ARC People, ARC Web, and ARC Cloud, and related updates, features, or support.
"Site" means any dedicated or trial instance of the Services deployed by Archiater for the Client or Prospective Client.
"Support" means technical assistance, troubleshooting, configuration, or training provided by Archiater in accordance with Section 8 (Support and Maintenance).
"Term" means the period during which this Agreement remains in effect, as defined in Section 9 (Term and Termination).
SECTION 1: SERVICE DESCRIPTION
1.1 Scope of Services
Archiater Studio Sdn Bhd ("Archiater") provides subscription-based access to its digital solutions, including but not limited to ARC Starter Pack, ARC NGO, ARC Finance, ARC People, ARC Web, and ARC Cloud (collectively, the "Services"). These Services are delivered on a Software-as-a-Service (SaaS) basis via web-based access, hosted and maintained by Archiater.
1.2 Free Trial Subscription
- Archiater may, at its discretion, grant a Free Trial Subscription site to a Prospective Client for evaluation purposes.
- The Free Trial Subscription is time-limited, storage-limited, non-exclusive, non-transferable, and provided "as-is" without any warranties of performance, support, or availability.
- The Prospective Client acknowledges that the Free Trial is solely for internal evaluation and consideration and does not entitle them to production use, resale, or reliance for commercial purposes.
- Any Free Trial Subscription Site created for a Prospective Client that remains inactive for a continuous period of three (3) months may be disabled and terminated by Archiater at its sole discretion.
- Archiater shall provide the Prospective Client with at least one (1) week's prior notice before such termination.
- Upon termination, all data contained in the Free Trial Subscription Site may be permanently deleted in accordance with Section 5.6 (Data Retention and Deletion).
1.3 Paid Subscription
Upon conversion to a Paid Subscription, the Prospective Client ("Client") shall gain ongoing access to the subscribed Services in accordance with the agreed plan, subject to payment of applicable fees and compliance with this Agreement.
1.4 Customisation and Demonstrations
- Archiater may, at its discretion, configure a Free Trial site with sample data or limited customisation for demonstration purposes.
- Where necessary, Archiater may enter the Client's or Prospective Client's deployed site to input sample data solely for the purpose of conducting introductory training, provided that consent (oral or written) is obtained beforehand.
- Upon subscription, Archiater shall hand over access and thereafter only log into the Client's live site with the Client's prior consent, unless expressly required under support arrangements.
1.5 Service Availability
Archiater shall use commercially reasonable efforts to ensure that subscribed Services are available, secure, and accessible online, subject to scheduled maintenance, unforeseen technical issues, or circumstances beyond Archiater's control.
SECTION 2: ACCESS AND USAGE RIGHTS
2.1 Grant of Rights
- Subject to compliance with this Agreement and payment of all applicable fees, Archiater grants the Prospective Client/Client a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for their internal business purposes only.
- No rights or licenses are granted except as expressly stated in this Agreement.
2.2 User Accounts
- Access to the Services requires creation of user accounts. The Client shall ensure that account information provided to Archiater is accurate, current, and complete.
- Each account is intended for individual use only and may not be shared or reassigned without Archiater's written consent.
- The Client is responsible for maintaining the confidentiality of login credentials and shall be fully liable for any activity conducted under their accounts.
2.3 Ownership of Services
- All rights, title, and interest in and to the Services, including all software, source code, databases, designs, user interfaces, content, documentation, logos, trademarks, and other intellectual property, shall remain the exclusive property of Archiater or its licensors.
- The Client acknowledges that the Services are licensed and not sold.
2.4 Restrictions on Use
The Client shall not, directly or indirectly: 1. copy, modify, alter, adapt, translate, or create derivative works based on the Services; 2. reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services; 3. use the Services for unlawful purposes, or to store, transmit, or distribute material that violates applicable laws, third-party rights, or Archiater's policies; 4. use the Services to develop or offer a competing product or service; 5. rent, lease, sell, assign, distribute, sublicense, or otherwise make the Services available to third parties; 6. interfere with or disrupt the performance, integrity, or security of the Services, including introducing malware or automated scripts; 7. bypass, disable, or circumvent any access controls, usage restrictions, or security features implemented by Archiater.
2.5 Responsibility for Users
- The Client shall ensure that all authorised users comply with this Agreement and shall be responsible for any breach by such users.
- Any violation of this Agreement by a user may result in immediate suspension or termination of access to the Services.
2.6 Reservation of Rights
Archiater reserves all rights not expressly granted under this Agreement.
SECTION 3: PAYMENT TERMS
3.1 Fees and Billing
- The Client agrees to pay all subscription fees, support fees, and any other applicable charges (collectively, the "Fees") in accordance with the pricing structure set out by Archiater from time to time.
- Fees are payable in Malaysian Ringgit (MYR) or such other currency as may be notified by Archiater.
- Unless otherwise agreed in writing, subscription fees shall be charged on a recurring basis (monthly, annually, or as stated in the selected plan).
3.2 Payment Method
- Payment shall be made via credit/debit card, online transfer, auto-debit, or such other payment methods as may be accepted by Archiater.
- By providing payment information, the Client authorises Archiater (and its appointed payment processors) to automatically charge the Fees when due.
3.3 Invoicing
- For Paid Subscriptions, Archiater shall issue invoices electronically.
- The Client agrees that issuance of electronic invoices shall constitute valid delivery of invoices under Malaysian law.
3.4 Taxes
- All Fees are exclusive of applicable taxes, including but not limited to Sales and Service Tax (SST), Goods and Services Tax (GST), or any other governmental charges.
- The Client shall be responsible for paying such taxes in addition to the Fees.
3.5 Late Payments
- If any payment is not received by the due date, Archiater reserves the right to: (a) suspend or limit access to the Services until payment is received; (b) charge interest at the rate of 1.5% per month (or the maximum permitted by law, whichever is lower) on the overdue balance; and (c) recover all reasonable costs of collection, including legal fees.
- Persistent late or non-payment may result in termination under Section 10 (Term and Termination).
3.6 Upgrades, Downgrades, and Add-ons
- The Client may upgrade or downgrade their subscription plan or purchase additional services (including ARC Points or storage) at any time, subject to applicable fees.
- Upgrades will be billed prorated for the remaining billing cycle; downgrades will take effect at the start of the next billing cycle.
3.7 Free Trial Conversion
- At the end of the Free Trial period, continued access to the Services requires conversion to a Paid Subscription.
- Failure to convert shall result in suspension or deletion of the Free Trial site, subject to Archiater's Data Retention Policy.
3.8 Refunds
- Refunds shall be governed by Archiater's Refund Policy available at https://arc.archiaterstudio.com/policy/refund-policy.
- Except as expressly stated in the Refund Policy, all Fees paid are non-refundable.
SECTION 4: SERVICE LEVEL AGREEMENT ("SLA")
4.1 Service Commitment
Archiater shall use commercially reasonable efforts to make the Services available with a Monthly Uptime Percentage of 99.5%, excluding scheduled maintenance, force majeure events, and other exceptions listed in this Agreement.
4.2 Scheduled Maintenance
- Archiater may perform scheduled maintenance on its systems, typically during off-peak hours, and shall provide reasonable notice to Clients where practicable.
- During such maintenance, Services may be temporarily unavailable without this constituting a breach of the SLA.
4.3 Unscheduled Downtime
- In the event of unscheduled downtime, Archiater shall act promptly to restore availability and minimise disruption.
- Archiater does not warrant uninterrupted service, and temporary outages shall not entitle the Client to terminate the Agreement or seek damages, except as explicitly provided herein.
4.4 Exclusions
The SLA does not apply to: 1. any unavailability caused by factors outside Archiater's reasonable control, including but not limited to force majeure events, Internet failures, or denial-of-service attacks; 2. any downtime attributable to the Client's hardware, software, or network; 3. suspension or termination of Services pursuant to this Agreement (e.g., non-payment, misuse, or security concerns); 4. beta features, free trials, or evaluation environments.
4.5 Support Response Times
- For Paid Subscriptions, Archiater shall provide technical support in accordance with the Client's selected plan.
- Support requests will be categorised by severity and addressed according to the following target response times: (a) Critical Issues* (System Down / Service Unusable): Response within 4 business hours. (b) *High Priority* (Major Features Impaired, No Workaround): Response within 1 business day. (c) *Normal Priority* (General Issues, Workarounds Available): Response within 2 business days. (d) *Low Priority (Inquiries, Guidance, Non-urgent Requests): Response within 3 business days.
4.6 Remedies
- Archiater may, at its discretion, provide service credits for confirmed downtime that materially impacts the Client's ability to use the Services, provided that a written claim is submitted within seven (7) days of the incident.
- Service credits shall not exceed the Fees paid by the Client for the month in which the downtime occurred and shall constitute the sole and exclusive remedy for any SLA breach.
SECTION 5: DATA SECURITY AND PRIVACY
5.1 Compliance with Law
Archiater shall process and safeguard all personal data in accordance with the Personal Data Protection Act 2010 (PDPA) of Malaysia and other applicable data protection and privacy regulations.
5.2 Client Data
- "Client Data" means all electronic data, content, materials, and information submitted by the Client or its authorised users through the Services.
- The Client retains all rights, title, and interest in and to Client Data. Archiater does not claim ownership of Client Data.
- The Client is solely responsible for the accuracy, quality, legality, and integrity of Client Data and for ensuring that its collection and use comply with applicable laws.
5.3 Use of Client Data
- Archiater shall use Client Data solely for the purpose of providing, maintaining, and improving the Services.
- Archiater shall not disclose Client Data to third parties except: (a) as required by law or regulatory authority; (b) to trusted third-party service providers who assist in operating the Services, subject to confidentiality obligations; (c) with the Client's prior consent.
5.4 Access to Client Site
- Archiater shall not access a Client's live site or data environment without the Client's explicit consent (oral or written).
- In cases where support or training requires access, Archiater shall request such consent beforehand.
- For Free Trial sites, Archiater may insert sample data solely for demonstration purposes.
5.5 Data Security
- Archiater implements reasonable technical, organisational, and administrative security measures to protect Client Data against loss, misuse, unauthorised access, disclosure, alteration, and destruction.
- These measures are outlined in Archiater's Security Policy available at https://arc.archiaterstudio.com/policy/security-policy.
5.6 Data Retention and Deletion
- Upon termination or expiry of a Free Trial or Paid Subscription, Archiater may retain Client Data for a grace period of thirty (30) days, after which the data may be permanently deleted unless otherwise required by law.
- Clients are responsible for exporting their data prior to termination or deletion. Archiater shall not be liable for any loss of Client Data once the grace period lapses.
5.7 Data Breach Notification
In the event of a confirmed data breach affecting Client Data, Archiater shall notify the Client without undue delay, providing details of the breach, potential impact, and remedial steps taken.
5.8 Privacy Policies
The Client acknowledges and agrees to Archiater's Privacy Policy and Security Policy, which form an integral part of this Agreement.
SECTION 6: INTELLECTUAL PROPERTY
6.1 Ownership of Services
- All rights, title, and interest in and to the Services, including but not limited to the software, source code, object code, algorithms, databases, architecture, user interfaces, designs, documentation, trademarks, trade names, service marks, logos, and all other related intellectual property (collectively, "Archiater IP"), shall remain the exclusive property of Archiater or its licensors.
- Except for the limited access rights expressly granted in this Agreement, no license or other rights, express or implied, are granted to the Client.
6.2 Client Data and Content
- All rights, title, and interest in and to Client Data shall remain the property of the Client.
- The Client grants Archiater a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Client Data solely for the purpose of providing the Services.
6.3 Feedback and Suggestions
- Any feedback, suggestions, or recommendations provided by the Client relating to the Services may be used by Archiater without restriction.
- The Client hereby assigns to Archiater all rights, title, and interest in such feedback, without any obligation of compensation.
6.4 Third-Party Software and Open-Source Components
- The Services may incorporate third-party software or open-source components licensed under separate terms.
- The Client's use of such components shall be subject to the relevant third-party license terms, which shall not limit Archiater's rights under this Agreement.
6.5 Restrictions on Intellectual Property Use
The Client shall not, without Archiater's prior written consent: 1. use Archiater's trademarks, logos, or branding in any manner that implies endorsement, partnership, or sponsorship; 2. copy, reproduce, distribute, republish, or publicly display any part of the Services or documentation, except as permitted under this Agreement; 3. modify, adapt, translate, or create derivative works based on Archiater IP; 4. remove, alter, or obscure any proprietary notices, labels, or marks on the Services.
6.6 Reservation of Rights
Archiater expressly reserves all rights not expressly granted to the Client under this Agreement.
SECTION 7: RESTRICTIONS ON USE
7.1 General Prohibitions
The Client shall not, and shall not permit any third party to: 1. use the Services for any purpose other than its own legitimate internal business operations; 2. sublicense, rent, lease, sell, assign, or otherwise transfer the Services to any third party; 3. use the Services to provide hosting, outsourcing, service bureau, or time-sharing services to third parties; 4. attempt to gain unauthorised access to the Services, systems, or networks operated by Archiater.
7.2 Technical Restrictions
The Client shall not, whether directly or indirectly: 1. copy, modify, alter, translate, or create derivative works from the Services; 2. reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying structure of the Services; 3. interfere with or disrupt the performance, security, or integrity of the Services or related systems; 4. bypass, disable, or tamper with any access control, encryption, authentication, or security mechanisms.
7.3 Data and Content Restrictions
The Client shall not use the Services to: 1. upload, transmit, or store any content that is illegal, infringing, obscene, defamatory, threatening, abusive, or otherwise objectionable; 2. distribute viruses, malware, ransomware, or other harmful computer code; 3. infringe, misappropriate, or violate the intellectual property, privacy, or proprietary rights of any third party.
7.4 Competitive Use
The Client shall not use the Services to: 1. benchmark or test the Services for the purpose of developing or offering a competing product or service; 2. disclose the results of such benchmarking or testing to any third party without Archiater's prior written consent.
7.5 Enforcement
- Any breach of this Section shall constitute a material breach of this Agreement.
- Archiater reserves the right to immediately suspend or terminate the Client's access to the Services without liability if a breach is detected.
SECTION 8: SUPPORT AND MAINTENANCE
8.1 Standard Support
- Archiater shall provide support to Clients in accordance with the subscribed plan.
- Support may include: (a) responding to technical queries, (b) investigating system issues, (c) providing guidance on system usage, (d) bug reporting and patching, and (e) general troubleshooting.
8.2 ARC Points Support Model
- Certain support services, including but not limited to configuration assistance, training, or hands-on troubleshooting, may require redemption of ARC Points purchased by the Client.
- Each ARC Point represents a fixed unit of support time as determined by Archiater.
- Support requests requiring access to the Client's site shall only be carried out with the Client's explicit consent (oral or written).
8.3 Exclusions
Support does not include: 1. issues arising from unauthorised modifications, misuse, or use of the Services contrary to this Agreement; 2. support for third-party systems, hardware, or software not provided by Archiater; 3. custom development, enhancements, or integrations unless separately contracted.
8.4 Updates and Enhancements
- Archiater may, at its discretion, provide updates, patches, or enhancements to the Services.
- Such updates shall be deemed part of the Services and subject to the terms of this Agreement.
- Archiater shall have no obligation to develop or release any new features or upgrades unless expressly agreed in writing.
8.5 Service Requests
- All support requests shall be submitted via Archiater's designated support channels.
- Support will be provided during normal business hours (Monday to Friday, 9:00 a.m. - 6:00 p.m. MYT, excluding public holidays), unless otherwise specified in the subscribed plan.
8.6 Training
- Introductory training may be provided to Prospective Clients on Free Trial sites using prepared sample data.
- Paid training sessions, workshops, or consultancy are available as separately billable services or via redemption of ARC Points.
8.7 Suspension of Support
Archiater reserves the right to suspend or withhold support if the Client: 1. fails to pay Fees when due; 2. uses the Services in violation of this Agreement; or 3. engages in abusive, fraudulent, or unreasonable conduct toward Archiater's personnel.
SECTION 9: TERM AND TERMINATION
9.1 Term of Agreement
- This Agreement becomes effective upon the Prospective Client's acceptance during the Account Setup process and remains binding throughout: (a) the Free Trial period; and (b) any subsequent Paid Subscription term.
- The Agreement continues until the Client ceases all use of the Services and Archiater has confirmed account termination in writing.
9.2 Subscription Term
- Paid Subscriptions shall automatically renew at the end of each billing cycle (monthly, annually, or as specified in the selected plan), unless terminated in accordance with this Section.
- The Client is responsible for ensuring timely cancellation prior to renewal to avoid incurring additional Fees.
9.3 Termination by Client
- The Client may terminate the Agreement by providing written notice to Archiater via the designated support channel.
- Termination shall take effect at the end of the current billing cycle, unless otherwise agreed in writing.
9.4 Termination by Archiater
Archiater may suspend or terminate the Agreement, effective immediately, if: 1. the Client fails to pay Fees when due; 2. the Client breaches any material term of this Agreement, including misuse of the Services or violation of restrictions; 3. Archiater reasonably believes that continued access may compromise the security, integrity, or lawful operation of the Services; 4. required to comply with applicable law, regulation, or government order.
9.5 Effect of Termination
Upon termination: 1. all rights granted to the Client under this Agreement shall immediately cease; 2. the Client shall discontinue all use of the Services; 3. any outstanding Fees shall become immediately due and payable; 4. Archiater may, at its discretion, retain Client Data for a grace period of thirty (30) days, after which it may be permanently deleted.
9.6 Survival
The following provisions shall survive termination: Payment Terms, Data Security and Privacy, Intellectual Property, Restrictions on Use, Warranties and Disclaimers, Limitation of Liability, and Governing Law.
SECTION 10: WARRANTIES AND DISCLAIMERS
10.1 Limited Warranty
- Archiater warrants that it has the legal right to grant access to the Services and that the Services will substantially conform to their published specifications under normal use.
- Archiater will use commercially reasonable efforts to provide the Services in a professional and workmanlike manner, consistent with industry standards.
10.2 Disclaimer of Other Warranties
Except as expressly stated in this Agreement, the Services are provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, Archiater disclaims all other warranties, conditions, and representations, whether express, implied, statutory, or otherwise, including but not limited to: 1. warranties of merchantability, fitness for a particular purpose, title, and non-infringement; 2. warranties that the Services will be uninterrupted, error-free, or free of security vulnerabilities; 3. warranties regarding the accuracy, completeness, reliability, or timeliness of any content or data provided through the Services; 4. warranties arising from usage of trade, course of dealing, or performance.
10.3 No Responsibility for Client Systems
Archiater makes no warranties and accepts no liability for issues caused by: 1. the Client's own hardware, software, or network; 2. third-party systems or services not controlled by Archiater; 3. unauthorised modifications, misuse, or failure to comply with Archiater's instructions.
10.4 Beta Services and Free Trials
- Any Free Trial or beta features are provided "as-is" without warranty of any kind.
- Archiater shall have no liability for any harm or damages arising from the Client's use of Free Trial or beta Services.
10.5 Client Warranties
The Client represents and warrants that: 1. it has full authority and legal right to enter into this Agreement; 2. its use of the Services will comply with all applicable laws and regulations, including data protection laws; 3. it shall not use the Services in any manner that infringes third-party rights or violates this Agreement.
SECTION 11: LIMITATION OF LIABILITY
11.1 Exclusion of Indirect Damages
To the fullest extent permitted by law, Archiater shall not be liable for any: 1. loss of profits, revenue, business, or anticipated savings; 2. loss or corruption of data, files, or content; 3. loss of goodwill, reputation, or business opportunities; 4. indirect, incidental, special, exemplary, punitive, or consequential damages, arising out of or relating to the use or inability to use the Services, even if Archiater has been advised of the possibility of such damages.
11.2 Cap on Liability
- In no event shall Archiater's total aggregate liability, whether in contract, tort (including negligence), strict liability, or otherwise, exceed the total amount of Fees paid by the Client to Archiater in the twelve (12) months immediately preceding the event giving rise to the claim.
- For Free Trial Users, Archiater's liability shall be strictly limited to RM100.00.
11.3 Allocation of Risk
The Parties acknowledge that the Fees charged reflect the allocation of risk under this Agreement and that the limitations of liability are essential to the bargain between the Parties.
11.4 Exceptions
The limitations in this Section shall not apply to liability arising from: 1. Archiater's wilful misconduct or gross negligence; 2. Archiater's indemnification obligations (if any) expressly provided in this Agreement; 3. any liability which cannot be excluded or limited under applicable law.
SECTION 12: GOVERNING LAW AND DISPUTE RESOLUTION
12.1 Governing Law
This Agreement shall be governed by, and construed in accordance with, the laws of Malaysia, without regard to its conflict of law principles.
12.2 Jurisdiction
The Parties agree to submit to the exclusive jurisdiction of the courts of Malaysia for the resolution of any disputes arising out of or in connection with this Agreement.
12.3 Good Faith Negotiation
- In the event of a dispute, the Parties shall first seek to resolve the matter through good faith negotiations within thirty (30) days of written notice of the dispute.
- Each Party shall appoint a senior representative with authority to resolve the dispute.
12.4 Mediation and Arbitration (Optional Escalation)
- If the dispute cannot be resolved through negotiation, the Parties may, by mutual agreement, refer the matter to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.
- If mediation fails, the dispute may be finally resolved by arbitration under the AIAC Arbitration Rules, which are deemed incorporated by reference. The seat of arbitration shall be Kuala Lumpur, Malaysia. The language of arbitration shall be English.
- Nothing in this Section shall prevent Archiater from seeking interim or injunctive relief in any court of competent jurisdiction.
12.5 Notices of Dispute
All notices relating to disputes shall be given in writing and delivered by email or registered post to the addresses provided in the Client's account details and Archiater's official registered address.
ACCEPTANCE CLAUSE
By ticking the acceptance checkbox and proceeding with the Account Setup Form, the Client expressly acknowledges and agrees that:
- They have read, understood, and accepted all the terms and conditions of this Digital SaaS Agreement;
- They are duly authorised to enter into this Agreement on behalf of themselves or the entity they represent;
- This Agreement is legally binding and enforceable upon acceptance, and shall remain in full force and effect throughout the duration of their Free Trial and/or Paid Subscription until valid termination in accordance with Section 9 (Term and Termination);
- The Client's continued use of the Services constitutes ongoing acceptance of this Agreement and any updates or modifications made by Archiater from time to time, provided that such updates are published on Archiater's official policy page at https://arc.archiaterstudio.com/policy.
